Terms of Service

1. Provider

Inverso HUB S.R.L. (CUIT registered in Argentina), operating the brand "eleata", with registered office in Ciudad Autónoma de Buenos Aires, Argentina, provides the eleata Peppol API service (the "Service").

2. Scope of the Service

eleata is a programmatic API for validating European Union electronic invoice formats (Peppol BIS 3, XRechnung 2.x, Factur-X 1.07.2, UBL 2.1) using the official Phive Schematron engine. The Service includes:

2.1 Not legal or tax advice

The Service performs syntactic and semantic validation against published Schematron rules. It is NOT a substitute for legal, tax, or accounting advice; for fiscal authorisation where local law requires it (e.g. Italian SDI, French PPF, Spanish Verifactu); or for an Access Point that transmits invoices through the Peppol network. You remain responsible for the legal and fiscal correctness of your invoices.

2.2 Beta features

Endpoints or formats marked "beta" in the documentation may change without notice. SLAs do not apply to beta features.

2.3 Geographic restrictions

The Service is not available in countries or to entities subject to comprehensive sanctions from the United Nations, the European Union, the United States Office of Foreign Assets Control (OFAC), or the United Kingdom. By signing up you represent that you are not located in, or organised under the laws of, a sanctioned jurisdiction, and that you are not on any sanctions or denied-parties list. We may suspend or terminate accounts that breach this section without notice.

3. Accounts

You must be at least 18 years old or the age of majority in your jurisdiction. You must provide accurate registration information. You are responsible for keeping your API keys confidential. We are not responsible for losses arising from compromised keys.

4. Plans and billing

Subscriptions are billed via Paddle (Merchant of Record). They automatically renew, and you can cancel at any time via the Paddle Customer Portal, with no forms or hassle. If you are not satisfied, you can request a full refund within 14 days of your purchase by emailing hello@eleata.io; refunds are processed by Paddle in accordance with the Paddle Buyer Terms.

4.1 VAT and reverse charge

For B2B customers established in the European Union with a valid VAT identification number (verified through VIES at the time of subscription), VAT is reverse-charged in accordance with Article 44 of EU Directive 2006/112/EC. For B2C customers in the EU, applicable VAT is collected by Paddle (Merchant of Record for VAT/sales tax across EU/UK/US). We are an Argentine services exporter; our invoices to non- Argentine residents qualify as exports of services and are zero-rated under Argentine VAT.

4.2 Distance selling (B2C)

Consumers in the EU have the right to withdraw from a consumer purchase within 14 days without giving any reason, in accordance with Directive 2011/83/EU. To exercise it, email hello@eleata.io and we will process your refund.

The Service is licensed, not sold. The SDKs, GitHub Action, and fixtures repository are published under MIT License (or CC0 for fixtures). The hosted API, our brand "eleata", and our landing content are our proprietary materials. The underlying Phive validator is MIT-licensed by Philip Helger.

7. Confidentiality

Each party agrees to keep confidential any non-public information of the other party learned in connection with the Service, except where disclosure is required by law.

8. Warranties and disclaimers

We provide the Service "as is" and "as available", without warranty of any kind, except as expressly stated in the SLA for the Scale plan. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your unauthorised use of the Service, your violation of these Terms, or your violation of applicable law.

11. Termination

We may suspend or terminate your access for material breach with 14 days' notice; or immediately for non-payment after a 7-day grace period; or immediately for violations of Section 2.3 (Geographic Restrictions) or Section 5 (Acceptable Use). Upon termination, your data is deleted in accordance with the Privacy Policy.

12. Governing law and forum

These Terms are governed by the laws of the Argentine Republic, without regard to conflict- of-laws principles. The exclusive forum for disputes is the ordinary courts of the City of Buenos Aires, Argentina, except that consumers may bring claims in their country of residence.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance.
